Allegations
The complaint filed against O-I Glass, Inc. alleges the company made statements that were materially false and/or misleading and/or failed to disclose that: O-I Glass shares dropped roughly 15% on July 29, 2026 after the Company posted second quarter 2026 adjusted earnings of $0.09 per share and reduced its full-year outlook.
The reported quarter arrived three months after the Company's April 29, 2026 first quarter earnings call. On that call, Chief Executive Officer Gordon Hardie stated: "We have updated our 2026 guidance to adjusted earnings of $1 to $1.50 per share." Q2 2026 adjusted EPS came in at $0.09.
The Company's Europe segment has been central to the decline. Europe segment operating profit fell to $6 million from $90 million a year earlier -- a drop of $84 million. On the April 29 call, CFO John A. Haudrich described the segment as "breakeven in the first quarter" and “down roughly $68 million" from the prior year, and told investors the Company expected "full-year sales volumes to be about flat with the prior year." The investigation concerns whether the scale of the risk to the Company's European segment and energy cost pressures was adequately disclosed to investors.
